Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Girilang platform, including our web application and any associated mobile applications (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. About the Service

Girilang is a cloud-based property management platform designed for boarding houses and sharehouses operating primarily under New South Wales and Victorian tenancy legislation. It provides tools for managing tenancies, leases, condition reports, maintenance, key access, utility billing, communications, and related operations for property managers, owners, and tenants.

Girilang is a software tool only. We are not a real estate agent, property manager, solicitor, or financial adviser. Nothing on the platform constitutes legal, financial, or professional advice.

2. Eligibility and accounts

You must be at least 18 years of age to create an account. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@girilang.com if you suspect unauthorised access to your account.

3. User roles and responsibilities

Owners and managers

If you use Girilang to manage properties on behalf of others, or as a property owner, you are responsible for:

  • Ensuring that any personal information you enter about tenants has been collected lawfully and with appropriate consent.
  • Complying with the Boarding Houses Act 2012 (NSW), the Residential Tenancies Act 2010 (NSW), the Residential Tenancies Act 1997 (VIC), and any other applicable legislation in your jurisdiction.
  • Ensuring lease documents, condition reports, and house rules generated through the platform are reviewed by a qualified professional before use in a legally binding context, where required.
  • Keeping tenant records accurate and up to date.
  • Ensuring that utility billing amounts, allocation methods, and payment records entered into the platform accurately reflect actual charges and arrangements.
  • Not using the platform to harass, discriminate against, or unlawfully treat any tenant.

Organisation administrators

The owner of a Girilang organisation account is responsible for the conduct of all team members they invite to the organisation. You must only invite individuals who are authorised to access the properties and tenant data associated with your organisation. You are responsible for revoking access promptly when a team member's authorisation ends.

Tenants

If you use Girilang as a tenant, you are responsible for:

  • Providing accurate information when submitting maintenance requests, signing leases, or communicating via the platform.
  • Using platform features in good faith.
  • Not misusing the platform to submit false reports or interfere with the operations of other users.

4. Electronic signatures

Girilang provides in-platform electronic signature functionality for lease agreements and related documents. By signing a document through the Service, you acknowledge that:

  • Your electronic signature has the same legal effect as a handwritten signature under the Electronic Transactions Act 1999 (Cth) and applicable state equivalents, subject to the requirements of those Acts.
  • You have read and understood the document you are signing and have the legal authority to enter into it.
  • Each signing event is recorded in an immutable audit trail that captures timestamps, IP addresses, and device information as evidence of the signing act.
  • Signed documents and their audit records are retained in accordance with our Privacy Policy and cannot be deleted by users.

Managers are responsible for ensuring that the correct parties are invited to sign, that all required fields are completed accurately before sending, and that the final document complies with any applicable legislative requirements for the relevant tenancy type and jurisdiction. Girilang bears no liability for errors in documents prepared or sent by users.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property, privacy, or other rights of any person.
  • Upload or transmit malicious code, viruses, or any content that is defamatory, obscene, or discriminatory.
  • Attempt to gain unauthorised access to other users' data, accounts, or to Girilang's systems.
  • Systematically scrape, copy, or extract data from the platform without prior written consent.
  • Use the platform in any way that could damage, disable, overburden, or impair its operation.
  • Resell, sublicence, or commercially exploit the Service without our express written permission.

6. Your content

You retain ownership of all content you upload or create within the Service, including property details, tenancy records, documents, photographs, and communications ("Your Content"). By uploading content, you grant Girilang a limited, non-exclusive licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for ensuring that Your Content does not violate the rights of any third party and complies with all applicable laws. We do not routinely review user content, but reserve the right to remove content that violates these Terms.

7. Platform-generated documents and content

The Service includes tools that generate or assist with the creation of documents and content, including lease agreements, condition reports, house rules, and property listing descriptions. You acknowledge that:

  • All generated documents are templates and tools only. They do not constitute legal advice and do not guarantee compliance with applicable legislation.
  • You are responsible for reviewing all generated documents for accuracy and legal suitability before use, and for obtaining professional advice where required.
  • Listing descriptions and marketing content generated with the assistance of the platform's writing tools are drafts for your review. You are responsible for their accuracy before publication.
  • Condition reports generated through the platform are records of information you provide. Their accuracy and completeness are your responsibility.

8. Key management

The key and access management features of the Service allow you to record the issuance of physical keys and access codes for properties. You acknowledge that:

  • The accuracy of key and access records is entirely your responsibility. Girilang does not verify physical key counts or the validity of access codes.
  • You must not record access codes (including PIN codes) for properties you do not own or manage.
  • Access code information entered into the platform is visible to authorised managers and owners of the relevant property. You are responsible for managing who holds that level of access.
  • Girilang is not liable for any physical security incident, loss, or damage arising from your use or misuse of the key management features.

9. Intellectual property

The Girilang platform — including its design, features, software, branding, and underlying technology — is owned by Girilang and protected by Australian and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited licence to use it as described here.

10. Fees and subscription

Girilang may offer free and paid subscription tiers. Current pricing is displayed within the platform. We reserve the right to introduce, modify, or discontinue pricing at any time, with at least 30 days' notice to existing subscribers before any price increase takes effect.

All fees are quoted in Australian dollars (AUD) inclusive of GST where applicable. Subscriptions are billed in advance. Refunds are handled on a case-by-case basis in accordance with the Australian Consumer Law.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in that policy.

12. Third-party services and integrations

The Service relies on third-party providers for infrastructure, authentication, and communications. The Service may also offer optional integrations with third-party applications such as accounting software. Your use of those underlying or integrated services is subject to their respective terms and privacy policies. Girilang is not responsible for the practices, availability, content, or accuracy of third-party services.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be error-free or uninterrupted. Platform-generated documents — including lease agreements and condition reports — are templates and aids only. They do not constitute legal advice and should be reviewed by a qualified professional before execution.

Nothing in these Terms excludes or limits any consumer rights you may have under the Australian Consumer Law that cannot be excluded by agreement.

14. Limitation of liability

To the maximum extent permitted by law, Girilang and its directors, employees, and contractors will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such damages.

Without limiting the above, Girilang is not liable for: disputes between landlords and tenants; any tenancy or compliance outcome arising from use of platform-generated documents; losses arising from inaccurate data entered by users; losses arising from the key management features; or losses arising from any third-party integration.

Our total aggregate liability to you for direct damages arising under these Terms is limited to the amount you paid to Girilang in the 12 months preceding the event giving rise to the claim, or AUD $100, whichever is greater.

15. Termination and data export

You may close your account at any time by contacting support@girilang.com . We may suspend or terminate your access if you breach these Terms, without prior notice or liability.

Upon termination, your right to use the Service ceases immediately. You are responsible for exporting any data you wish to retain before closing your account. Certain records (including signed leases and their audit trails) are subject to retention obligations described in our Privacy Policy and cannot be immediately deleted on request.

Clauses 4, 6, 9, 13, 14, and 17 survive termination.

16. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising out of or in connection with these Terms or the Service.

We encourage you to contact us first to resolve any dispute informally. Disputes that cannot be resolved informally may be referred to the NSW Civil and Administrative Tribunal (NCAT) or another appropriate dispute resolution body.

17. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Girilang in relation to the Service and supersede all prior agreements or understandings on that subject.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
